Vizsla Copper Corp. has entered into a definitive agreement to acquire a 100 percent interest in the Delta base and precious metal project and the Helm Bay gold project from a subsidiary of Agnico-Eagle Mines Ltd. The strategic transaction expands Vizsla Copper’s footprint in Alaska, adding advanced-stage volcanogenic massive sulphide and orogenic gold targets to its existing portfolio.
Expanding the Alaskan Mineral Portfolio
The acquisition centers on the Delta volcanogenic massive sulphide project in central Alaska, which hosts a historical inferred resource containing copper, lead, zinc, silver, and gold alongside untested electromagnetic conductors. Additionally, the Helm Bay project in southeastern Alaska offers high-grade gold-bearing quartz veins with historical small-scale production. Together with the existing Palmer VMS project, the assets establish a robust multi-commodity exploration pipeline in the region.
Transaction Structure and Equity Stakes
Under the terms of the agreement, Vizsla Copper will issue 22.5 million initial consideration shares and 2.9 million deferred consideration shares, granting Agnico-Eagle an initial 19.9 percent ownership stake that may rise to 22 percent. Agnico-Eagle will also receive 3.04 million share purchase warrants and net smelter return royalties on both projects, alongside milestone payments tied to commercial production at Delta, reinforcing strong institutional backing for Vizsla’s growth strategy.
