Anglo Scraps Executive Bonus Proposal Ahead of Teck Merger Vote

Anglo American has withdrawn its executive bonus amendment from the shareholder agenda, following investor objections. The change aimed to link 62.5% of 2024-2025 share awards to the Teck merger’s completion. Institutional Shareholder Services recommended rejecting the proposal, citing weak governance. Anglo’s remuneration committee plans to consult investors on a revised pay policy at the 2026 annual meeting.

The decision simplifies the merger vote, which now focuses solely on issuing new shares. Analysts suggest the removal increases shareholder support for the $53-billion deal. The transaction would shift Anglo’s headquarters to Canada and retain key executives during the integration.

 

Teck Merger Could Reshape Global Copper Market

If approved, the Anglo-Teck merger will create one of the top five copper producers worldwide. Combined annual output would reach 1.35 million tonnes, surpassing Chile’s Escondida mine forecast for 2024. The transaction, pending regulatory approval, ranks as the decade’s largest mining deal. Shareholders from both companies will vote on December 9, requiring a two-thirds majority to proceed.

This deal follows a brief BHP bid for Anglo, highlighting Anglo’s attractiveness due to its copper portfolio. Diamonds and platinum assets previously complicated takeover attempts, but copper remains the strategic driver.
