
Exploration-stage mining firm Verdera Energy has agreed to sell its Treeline Uranium Project in New Mexico. The buyer is Americas Uranium. Deal Structure and Retained Value
Americas Uranium will pay $100,000 in cash upon closing. This payment is supplemented by C$2 million in common shares. To manage dilution and ensure long-term alignment, 90% of those shares will issue in stages over 36 months. Verdera retains a 1.5% royalty on net uranium production proceeds. It also keeps a 1.5% net smelter returns royalty on other extracted minerals. Americas Uranium may reduce these royalties to 1% with a C$400,000 buyout payment. Additionally, Americas Uranium secures the right of first refusal for neighboring mineral rights.
Historic Resources and Future Exploration
The Treeline property spans Cibola and McKinley Counties. This region has a deep history of uranium mining near the historic San Mateo mine. A 2005 historical review estimates the site holds 1.02 million pounds of triuranium octoxide. This mineralization concentrates primarily within the Poison Canyon sandstone.
This historical estimate does not currently meet NI 43-101 standards. However, the site features two primary mineralization trends. These trends extend strike lengths up to 3,250 feet. For Verdera, the divestment aligns with a broader strategic pivot. The company will focus capital on advancing four large-scale properties backed by historical resources from major oil companies.
