The transaction merges Eldorado’s Skouries gold-copper project in Greece with Foran’s McIlvenna Bay project in Saskatchewan.
Both projects target commercial production by mid-2026, aiming for approximately 900,000 gold-equivalent ounces in 2027.
Combined assets will have about 77% gold exposure and 15% copper, spanning Canada, Greece, and Turkey.

Eldorado expects the merged company to generate $2.1 billion in core profit and $1.5 billion in free cash flow by 2027.
Exploration spending will increase, particularly at Foran’s Tesla zone in Saskatchewan, supporting future growth.
The acquisition strengthens Eldorado’s financial position and operational scale for phased expansion opportunities.

 

Deal structure and strategic implications

Foran shareholders will receive 0.1128 Eldorado shares plus $0.01 per share, totaling roughly 24% of the combined company.
The transaction is scheduled to close in the second quarter of 2026, pending shareholder approval by April 14.
The merged business will retain Vancouver headquarters under the Eldorado Gold name.

McIlvenna Bay will serve as a cornerstone Canadian asset alongside Eldorado’s Lamaque Complex.
The project is recognized as a critical minerals development by the federal government, boosting national strategic importance.
Overall, the deal aligns with long-term goals in copper, gold, and clean energy metals production.
